MANYBOOST TERMS OF USE

Our Privacy Policy explains how we collect, use, and share information. By using the Services, you acknowledge that your use is also subject to our Privacy Policy.

You must be at least 18 years old to access or use the Services. By using the Services, you represent and warrant that you are 18+ and that you have not been suspended or removed from the Services in the past.

We may request proof of age and may suspend or terminate access if we reasonably believe you are under 18.

3.1 Account Creation

Certain features may require an account ("Account"). You agree to provide accurate and complete information and keep it current.

3.2 Account Responsibility

You are responsible for all activity under your Account and for maintaining the confidentiality of your login credentials. Notify us immediately at hello@manyboost.me if you suspect unauthorized use.

3.3 Suspension / Termination

We may suspend or terminate your Account (or access to the Services) at any time if we believe you violated these Terms, created risk, or used the Services unlawfully.

ManyBoost provides services intended to help users distribute and amplify social media content through creator activity and related engagement actions (the "Campaigns").

4.1 No Affiliation With Social Platforms

ManyBoost is not affiliated with, endorsed by, or sponsored by Meta/Instagram/Facebook, TikTok, or any other platform unless expressly stated.

4.2 Platform Rules

You are solely responsible for ensuring your content, Campaigns, and use of the Services comply with the applicable platform terms, policies, and laws. We are not responsible if a platform limits reach, removes content, restricts your account, or changes its algorithms or policies.

4.3 No Guarantee of Business Outcomes

We do not guarantee sales, revenue, conversions, ROAS, ranking, organic reach, account growth, or any specific business result.

4.4 Creators and Influencers Are Independent; No Agency / Employment (IMPORTANT)

ManyBoost may facilitate Campaigns that involve third-party creators, influencers, publishers, or other participants ("Creators").

You acknowledge and agree that:

1. Independent Contractors. Creators are independent third parties and are not employees, agents, partners, joint venturers, representatives, or legal affiliates of ManyBoost or the Company. Nothing in these Terms or in the Services creates any agency, employment, partnership, fiduciary relationship, or joint venture between ManyBoost and any Creator, or between ManyBoost and you.
2. No Authority to Bind. No Creator has authority to make representations, warranties, commitments, or agreements on behalf of ManyBoost or the Company, or to bind ManyBoost in any manner.
3. Your Responsibility for Third Parties You Engage. If you engage, direct, request, contract with, or otherwise involve any Creator (whether through the Services or outside of the Services), you are solely responsible for: (i) ensuring such Creator's compliance with all applicable laws, regulations, and platform rules; (ii) ensuring proper advertising/marketing disclosures (including "paid partnership," "ad," sponsorship, endorsements, and similar disclosures); (iii) obtaining and maintaining any required licenses, permits, approvals, and permissions for commercial, advertising, influencer, or creator activity; and (iv) ensuring that any content or activity does not infringe third-party rights (including intellectual property, privacy, and publicity rights).
4. No Liability for Creator Acts or Omissions. To the maximum extent permitted by law, ManyBoost and the Company are not responsible or liable for any acts, omissions, conduct, statements, content, or compliance failures of any Creator or other third party, including any failure to make required disclosures or to hold required licenses/permissions.

If you purchase any paid Services, you agree to pay all fees shown at checkout or agreed in writing.

Unless required by applicable law or expressly stated in writing, fees are non-refundable. If we fail to deliver the paid Services materially as described, you may contact hello@manyboost.me and we may, at our discretion, provide a credit or pro-rated refund.

"User Content" means any content you submit, upload, provide, or make available through the Services (including links, text, images, videos, brand assets, and campaign materials).

6.1 Your Responsibility

You are solely responsible for your User Content and represent and warrant that:

• you own it or have all necessary rights and permissions to use it;
• it does not violate any law, platform policy, or third-party rights (including IP, privacy, publicity);
• if it depicts people, you have necessary consents/releases.

6.2 License to Operate the Services

You grant us a limited, worldwide, non-exclusive, royalty-free license to host, reproduce, display, transmit, and use your User Content only as needed to provide and improve the Services, operate Campaigns, troubleshoot, and comply with law.

You acknowledge and agree that you are solely responsible for determining and maintaining compliance with all laws, regulations, industry rules, and platform policies applicable to your use of the Services and your Campaigns.

You represent and warrant that you (and, where applicable, your employees, contractors, creators, influencers, agents, or any third parties engaged by you):

1. hold all required licenses, permits, registrations, approvals, consents, and authorizations (including any special permits/approvals if required) to conduct commercial activity, advertising, marketing, influencer/creator activities, content promotion, and any other activities you perform in connection with the Services;
2. will comply with all applicable advertising/marketing disclosure rules (including sponsorship, paid partnership, and "ad" disclosures) and any consumer protection requirements; and
3. will ensure that your Campaigns do not breach any third-party rights (including IP, privacy, publicity) and do not violate platform policies.

No Verification / No Duty. You acknowledge and agree that Wide Loop billboards advertising LLC and the ManyBoost project:

• do not have any obligation to verify (at registration or otherwise) whether you have the required licenses, permits, approvals, or permissions;
• do not represent that your use of the Services is lawful in your jurisdiction; and
• are not responsible or liable for your failure to obtain or maintain any required licenses, permits, approvals, or permissions.

You agree not to:

• use the Services for unlawful, fraudulent, deceptive, or harmful purposes;
• infringe or misappropriate intellectual property or privacy rights;
• upload malware, attempt to disrupt the Services, or access systems without authorization;
• scrape, crawl, or harvest data from the Services except where explicitly permitted;
• create multiple accounts to bypass restrictions or evade enforcement;
• use the Services in a manner that violates any social platform's rules (including spam or inauthentic behavior), or that encourages others to do so.

We may remove content, pause Campaigns, or suspend/terminate accounts for violations.

The Services (excluding User Content) are owned by the Company or its licensors and are protected by applicable intellectual property laws. You receive a limited, revocable, non-transferable, non-exclusive license to access and use the Services subject to these Terms.

The Services may include links or integrations with third-party services. We do not control and are not responsible for third-party services, content, or policies.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION.
• OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) USD $50 OR (B) THE AMOUNT YOU PAID US (IF ANY) IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

• your use of the Services;
• your User Content or Campaigns;
• your violation of these Terms, platform rules, or law;
• your failure to obtain/maintain required licenses, permits, approvals, or permissions;
• your infringement of third-party rights.

These Terms remain in effect while you use the Services. We may terminate or suspend your access at any time as described above. Provisions that by their nature should survive termination will survive.

If you believe content on the Services infringes your intellectual property rights, contact hello@manyboost.me with details sufficient to identify the work and the allegedly infringing material.

16.1 Governing Law

These Terms and any dispute arising from them are governed by the laws applicable in the Emirate of Dubai and the federal laws of the United Arab Emirates, without regard to conflict-of-law principles.

16.2 Arbitration

Except for claims seeking injunctive relief for misuse of intellectual property or unauthorized access, any dispute arising out of or relating to these Terms or the Services shall be finally resolved by arbitration.

• No class/collective actions: disputes must be brought on an individual basis.

16.3 Informal Resolution

Before filing arbitration or court claims, you agree to send a written Notice of Dispute and allow 30 days to attempt informal resolution.

We may update these Terms from time to time. Continued use after changes become effective means you accept the updated Terms.

You consent to receive communications electronically (via the Site, email, or other electronic means). Electronic notices satisfy legal communication requirements to the extent permitted by law.

• Entire Agreement: These Terms (and any referenced policies) are the entire agreement regarding the Services.
• Severability: If any provision is held invalid, the remainder remains effective.
• Assignment: You may not assign these Terms without our written consent; we may assign freely.
• No Waiver: Failure to enforce a provision is not a waiver.
